Terms of Service

1. Agreement to Terms
By creating an account, checking the consent box during signup, or otherwise accessing or using the Visualizer Plugin (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and NorBot Systems Inc.
2. Definitions
"Widget" means the embeddable renovation visualiser component that you install on your website. "Plugin" means the Visualizer Plugin software-as-a-service product, including the Widget, Dashboard, API, and all related services. "Design Expert" means the AI-powered chat assistant integrated into the Widget that helps homeowners refine renovation ideas. "Dashboard" means the contractor administration portal available to Accelerate and Dominate tier subscribers. "API Key" means the unique authentication credential (prefixed nbs_live_ or nbs_test_) used to connect the Widget to your account. "Territory" means the geographic exclusivity area available to Dominate tier subscribers. "We," "NorBot," or "Us" means NorBot Systems Inc., a corporation incorporated under the laws of the Province of Ontario, Canada, with its principal office in Stratford, Ontario. "You," "Client," or "Contractor" means the business entity or individual subscribing to the Service.
3. Services Description
NorBot offers the Visualizer Plugin in three subscription tiers. Elevate ($149 CAD/month) includes the embeddable Widget with photo upload, AI renovation visualisation, Design Expert chat, lead capture, email notifications, a branded demo page, and installation support. Accelerate ($249 CAD/month) includes everything in Elevate plus the administration Dashboard, AI-powered quote engine, and conversion analytics. Dominate ($699 CAD/month) includes everything in Accelerate plus a premium website rebuild, AI voice receptionist, geographic territory exclusivity, and priority support. Current feature details and pricing are available at /pricing. NorBot targets 99.5% uptime for the Service, measured on a monthly basis, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance via email.
4. Account Registration
Each company may maintain one active account. You must provide accurate, current, and complete information during the registration process and keep your account details up to date. You are solely responsible for safeguarding your login credentials and API Key. You must notify us immediately at support@norbotsystems.com if you become aware of any unauthorised access to or use of your account. We reserve the right to suspend or terminate accounts where registration information is found to be materially false, misleading, or incomplete.
5. Free Trial
All subscription tiers include a 14-calendar-day free trial. A valid credit card is required at the time of signup. During the trial period, you have access to all features of your selected plan. After the trial period expires, your payment method will be automatically charged the applicable subscription fee at the rate displayed during signup, unless you cancel before the trial ends. If you cancel during the trial period, you will not be charged. Your trial begins when you complete the signup process on our platform. Trial accounts are limited to one per company; creating multiple accounts to extend a trial is prohibited.
6. Billing and Payment
All prices are quoted in Canadian dollars (CAD). Subscriptions are billed in advance on a monthly or annual basis, as selected during signup. Annual subscriptions are offered at a 30% discount compared to monthly pricing. All payment processing is handled by Stripe, Inc.; NorBot does not store, process, or have access to your full credit card number. Harmonised Sales Tax (HST) or applicable provincial sales tax will be added where required by law. Late payments accrue interest at a rate of 1.5% per month (18% per annum) on outstanding balances. If your account remains in arrears for more than 15 days, we may suspend your access to the Service until payment is received. We will provide at least 30 days’ written notice before any price changes take effect for existing subscribers.
7. Cancellation and Refunds
Monthly subscriptions may be cancelled at any time. Upon cancellation, you retain access to the Service until the end of your current billing period. Annual subscriptions are non-refundable after the 14-day trial period; cancellation of an annual subscription prevents automatic renewal at the end of the current annual term. You may cancel your subscription in three ways: (1) from your Dashboard under Settings > Billing > Cancel Subscription; (2) through the Stripe Customer Portal; or (3) by emailing support@norbotsystems.com. Your data will be retained for 30 days following the effective date of cancellation. After 30 days, all account data is permanently deleted unless you request a data export during the retention period.
8. AI-Generated Content Disclaimer
Renovation visualisations produced by the Service are AI-generated approximations and may not accurately represent the final result of any construction, renovation, or design work. Estimates and quotes generated by the platform are intended as starting points for discussion between you and your clients; they are not binding offers, guarantees of cost, or professional appraisals. NorBot is not responsible for any construction, renovation, design, or financial decisions made on the basis of AI-generated content. The Design Expert chat provides general design guidance and does not replace professional architectural, engineering, or building-code advice. You are responsible for ensuring that any information conveyed to your clients through the Service is accurate and appropriate.
9. Acceptable Use
Your use of the Plugin is subject to our Acceptable Use Policy available at /acceptable-use. Key restrictions include: no sending unsolicited commercial electronic messages in violation of Canada’s Anti-Spam Legislation (CASL) using leads collected through the Widget, no attempting to gain unauthorised access to any part of the Service, no reverse engineering or decompiling the Widget or any other component, and no reselling or sublicensing the Service. Violations of the Acceptable Use Policy may result in immediate suspension or termination of your account.
10. Widget Embedding
We grant you a non-exclusive, non-transferable, revocable licence to embed the Widget on your approved domain(s) as listed in your account settings. The Widget operates within a Shadow DOM container on your website. You may not modify, decompile, disassemble, or extract the Widget code. You may not inject custom code, scripts, or stylesheets into the Widget or alter its appearance or behaviour beyond the branding controls provided in the Dashboard. The Widget must remain unmodified and must link back to NorBot for attribution purposes.
11. Intellectual Property
NorBot retains all right, title, and interest in and to the Visualizer Plugin platform, Widget, Dashboard, API, AI models, algorithms, documentation, and all underlying technology. You retain full ownership of your business data, including lead information collected through the Widget and any content you upload to the Service. You grant NorBot a limited, non-exclusive licence to process your data solely for the purpose of delivering the Service. Upon termination of your subscription, NorBot will provide a data export in a standard machine-readable format (CSV or JSON) within 7 business days of a written request.
12. Data Processing
Personal data is collected, used, and disclosed in accordance with our Privacy Policy at /privacy. Primary data storage is hosted by Supabase in the ca-central-1 (Montréal) region. Sub-processors include Supabase (database hosting), Vercel (application hosting), Stripe (payment processing), and AI model providers (see our Privacy Policy for a complete and current list). We comply with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation. In the event of a data breach affecting your personal information, we will notify you within 72 hours of becoming aware of the breach.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NORBOT SYSTEMS INC.’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO NORBOT IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY. This limitation does not apply to breaches of confidentiality obligations, intellectual property infringement, wilful misconduct, or gross negligence. NorBot specifically disclaims any liability for the accuracy, completeness, or fitness for purpose of AI-generated visualisations, estimates, quotes, or recommendations.
14. Indemnification
You agree to indemnify, defend, and hold harmless NorBot Systems Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Plugin in violation of these Terms; (b) your failure to comply with CASL or any other applicable anti-spam legislation when contacting leads collected through the Widget; (c) any content you submit through or upload to the Plugin; or (d) your violation of any applicable law, regulation, or third-party right. NorBot will indemnify you against third-party claims alleging that the Plugin, as provided by NorBot, infringes a valid Canadian intellectual property right, provided that you promptly notify NorBot of such claim and cooperate in the defence.
15. Governing Law
These Terms are governed by and shall be construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved through good-faith negotiation within 30 days shall be resolved through binding arbitration in Stratford, Ontario, conducted in accordance with the Arbitration Act, 1991 (Ontario). The language of all proceedings shall be English. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
16. Changes and Contact
We may update these Terms from time to time. For material changes, we will provide at least 30 days’ notice by email to the address associated with your account. Your continued use of the Service after the notice period constitutes acceptance of the updated Terms. Non-material changes (such as corrections or formatting) take effect upon posting.
