Terms of Service

1. Agreement to Terms

By creating an account, checking the consent box during signup, or otherwise accessing or using the Visualizer Plugin (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and NorBot Systems Inc.

2. Definitions

"Visualizer" means the NorBot Visualizer software-as-a-service product, including the embeddable widget, API, and all related services. "Widget" means the embeddable renovation visualizer component that is installed on the Subscriber’s website. "Design Chat" means the chat assistant integrated into the Widget that helps homeowners refine renovation ideas before they submit their contact information. "Billing Portal" means the Stripe Customer Portal accessible at demo.norbotsystems.com/manage, where Subscribers can update payment methods, download invoices, change plan, and cancel their subscription. NorBot does not provide a custom administration portal in the Elevate plan. "Lead Package" means the PDF document emailed to the Subscriber for every qualified lead submission, containing the homeowner’s room photograph, selected design direction, and contact information. "Qualified Lead Submission" has the meaning set out in Section 17 (Lead Guarantee). "API Key" means the unique authentication credential (prefixed nbs_live_ or nbs_test_) used to connect the Widget to the Subscriber’s account. "We," "NorBot," or "Us" means NorBot Systems Inc., a corporation incorporated under the laws of the Province of Ontario, Canada, with its principal office in Stratford, Ontario. "You," "Subscriber," or "Contractor" means the business entity or individual subscribing to the Visualizer.

3. Services Description

NorBot Visualizer is offered as a single subscription service at $179 CAD per month ($134 CAD per month when billed annually, equivalent to $1,608 CAD per year) for Canadian Subscribers, and $119 USD per month ($89 USD per month when billed annually, equivalent to $1,068 USD per year) for United States Subscribers. There is no setup fee and no minimum term commitment. The subscription includes: (a) the embeddable Widget with photo upload and renovation visualisation; (b) unlimited homeowner sessions with no per-render caps; (c) a Lead Package PDF emailed to the Subscriber for every qualified lead submission within 24 hours of homeowner submission; (d) white-glove installation of the Widget on the Subscriber’s website by the NorBot team; (e) a standalone branded link for sharing the visualiser with homeowners directly; (f) self-serve subscription management via the Billing Portal; and (g) the Lead Guarantee described in Section 17 of these Terms. The Elevate plan does not include a contractor dashboard or administration portal. NorBot Systems Inc. may, from time to time, offer optional upgrades or add-on services via email to eligible existing Subscribers who have maintained an active subscription for 21 or more consecutive days and have received 15 or more qualified leads. Subscribers are under no obligation to accept any upgrade offer. NorBot targets 99.5% uptime for the Visualizer, measured on a monthly basis, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance by email.

4. Account Registration

Each company may maintain one active account. You must provide accurate, current, and complete information during the registration process and keep your account details up to date. You are solely responsible for safeguarding your login credentials and API Key. You must notify us immediately at ferdie@norbotsystems.com if you become aware of any unauthorised access to or use of your account. We reserve the right to suspend or terminate accounts where registration information is found to be materially false, misleading, or incomplete.

5. Free Trial

Every new Subscriber receives a 14-calendar-day free trial of NorBot Visualizer. A valid credit card is required at the time of signup. No charge is made to the payment method on file until day 15, at which point the Subscriber is automatically charged the applicable subscription fee at the rate displayed during signup, unless the Subscriber cancels before the end of the trial period. If the Subscriber cancels before day 14, no charge is made. The trial begins when the Subscriber completes the signup process and accepts these Terms. Trial accounts are limited to one per company; creating multiple accounts to extend a trial is prohibited. The Lead Guarantee described in Section 17 does not apply to the trial period; the Guarantee Period begins on the first day of the first paid subscription period.

6. Billing and Payment

Prices are quoted in Canadian dollars (CAD) for Canadian Subscribers and United States dollars (USD) for United States Subscribers, as set out in Section 3. Subscriptions are billed in advance on a monthly or annual basis, as selected during signup. Annual subscriptions are offered at a 25% discount compared to the equivalent monthly rate. All payment processing is handled by Stripe, Inc.; NorBot does not store, process, or have access to Subscribers’ full credit card numbers. Harmonised Sales Tax (HST) or applicable provincial sales tax is added to Canadian invoices where required by law. United States sales tax is calculated and collected by Stripe Tax where applicable. If a Subscriber’s account remains in arrears for more than 15 days, NorBot may suspend access to the Visualizer until payment is received. NorBot will provide at least 30 days’ written notice before any price changes take effect for existing Subscribers.

7. Cancellation and Refunds

Monthly subscriptions may be cancelled at any time. Upon cancellation of a monthly subscription, the Subscriber retains access to the Visualizer until the end of the current billing period, and no further charges are made. Annual subscriptions are non-refundable after the 14-day trial period except where a refund is owed under the Lead Guarantee described in Section 17; cancellation of an annual subscription prevents automatic renewal at the end of the current annual term. The Subscriber may cancel the subscription in two ways: (1) through the Stripe Customer Portal at demo.norbotsystems.com/manage, or (2) by emailing ferdie@norbotsystems.com with the subject line "Subscription Cancellation Request." Subscriber data is retained for 30 days following the effective date of cancellation, during which time the Subscriber may request a data export. After 30 days, all account data is permanently deleted unless a data export has been requested during the retention period.

8. Visualization Content Disclaimer

Renovation visualizations produced by the Visualizer are machine-generated approximations and may not accurately represent the final result of any construction, renovation, or design work. Any estimates or visual previews generated are intended as starting points for discussion between the Subscriber and their clients; they are not binding offers, guarantees of cost, or professional appraisals. NorBot is not responsible for any construction, renovation, design, or financial decisions made on the basis of machine-generated content. The Design Chat provides general design guidance and does not replace professional architectural, engineering, or building-code advice. The Subscriber is responsible for ensuring that any information conveyed to the Subscriber’s clients through the Visualizer is accurate and appropriate.

9. Acceptable Use

Your use of the Plugin is subject to our Acceptable Use Policy available at /acceptable-use. Key restrictions include: no sending unsolicited commercial electronic messages in violation of Canada’s Anti-Spam Legislation (CASL) using leads collected through the Widget, no attempting to gain unauthorised access to any part of the Service, no reverse engineering or decompiling the Widget or any other component, and no reselling or sublicensing the Service. Violations of the Acceptable Use Policy may result in immediate suspension or termination of your account.

10. Widget Embedding

We grant you a non-exclusive, non-transferable, revocable licence to embed the Widget on your approved domain(s) as listed in your account settings. The Widget operates within a Shadow DOM container on your website. You may not modify, decompile, disassemble, or extract the Widget code. You may not inject custom code, scripts, or stylesheets into the Widget or alter its appearance or behaviour beyond the branding settings captured during signup or updated by emailing ferdie@norbotsystems.com. The Widget must remain unmodified and must link back to NorBot for attribution purposes.

11. Intellectual Property

NorBot Systems Inc. retains all right, title, and interest in and to the NorBot Visualizer service, including the Widget, API, underlying models, algorithms, documentation, and all underlying technology. The Subscriber retains full ownership of the Subscriber’s business data, including lead information collected through the Widget and any content the Subscriber uploads to the Service. The Subscriber grants NorBot a limited, non-exclusive licence to process the Subscriber’s data solely for the purpose of delivering the Service. Upon termination of the Subscriber’s subscription, NorBot will provide a data export in a standard machine-readable format (CSV or JSON) within 7 business days of a written request.

12. Data Processing

Personal data is collected, used, and disclosed in accordance with our Privacy Policy at /privacy. Primary data storage is hosted by Supabase in the ca-central-1 (Montréal) region. Sub-processors include Supabase (database hosting), Vercel (application hosting), Stripe (payment processing), and machine learning model providers (see our Privacy Policy for a complete and current list of sub-processors). We comply with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation. In the event of a data breach affecting your personal information, we will notify you within 72 hours of becoming aware of the breach.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NORBOT SYSTEMS INC.’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY THE SUBSCRIBER TO NORBOT IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY. This limitation does not apply to breaches of confidentiality obligations, intellectual property infringement, wilful misconduct, or gross negligence. NorBot specifically disclaims any liability for the accuracy, completeness, or fitness for purpose of machine-generated visualizations, estimates, or design recommendations produced by the Service.

14. Indemnification

You agree to indemnify, defend, and hold harmless NorBot Systems Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Plugin in violation of these Terms; (b) your failure to comply with CASL or any other applicable anti-spam legislation when contacting leads collected through the Widget; (c) any content you submit through or upload to the Plugin; or (d) your violation of any applicable law, regulation, or third-party right. NorBot will indemnify you against third-party claims alleging that the Plugin, as provided by NorBot, infringes a valid Canadian intellectual property right, provided that you promptly notify NorBot of such claim and cooperate in the defence.

15. Governing Law

These Terms are governed by and shall be construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved through good-faith negotiation within 30 days shall be resolved through binding arbitration in Stratford, Ontario, conducted in accordance with the Arbitration Act, 1991 (Ontario). The language of all proceedings shall be English. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

16. Changes and Contact

We may update these Terms from time to time. For material changes, we will provide at least 30 days’ notice by email to the address associated with your account. Your continued use of the Service after the notice period constitutes acceptance of the updated Terms. Non-material changes (such as corrections or formatting) take effect upon posting. 17. Lead Guarantee

**10 new qualified leads in 60 days — or every dollar back.** NorBot Systems Inc. guarantees that a paying Subscriber to the NorBot Visualizer service will receive at least ten (10) qualified lead submissions during the first sixty (60) consecutive calendar days following the later of (i) the first day of the Subscriber’s paid subscription period (i.e., the day the subscription charge is first applied to the Subscriber’s payment method after the 14-day free trial), or (ii) the day on which the NorBot Visualizer Widget or standalone branded link first successfully authenticates against NorBot’s API using the Subscriber’s API key (indicating live installation or usage), whichever date is later (the "Guarantee Period"). A "qualified lead submission" means a submission received through the NorBot Visualizer Widget on the Subscriber’s website or through the Subscriber’s standalone branded visualizer link by a real homeowner that includes: (a) a room photograph, (b) a selected design direction, and (c) the homeowner’s contact information (name, email, and/or phone number). **Installation verification.** Installation and active usage are confirmed by NorBot’s server log records showing valid API key usage. Each successful request from the Widget or standalone link counts as installation activity. NorBot reserves the right to verify installation status using its own server logs. **Proactive Lead Generation Support.** NorBot will proactively monitor the Subscriber’s account for API activity and lead generation during the Guarantee Period. If fewer than two (2) qualified leads have been generated after 30 days of the Guarantee Period, NorBot will send a notification email to the Subscriber’s registered account email address offering troubleshooting assistance and guidance on Widget installation and promotion. If fewer than five (5) qualified leads have been generated after 45 days of the Guarantee Period, NorBot will send a second notification offering additional support options. Subscribers who do not respond to these notifications and take reasonable action to resolve any installation or promotion issues identified by NorBot within seven (7) days of the notification may forfeit the Lead Guarantee refund. **Refund claim and processing.** If fewer than ten (10) qualified lead submissions are received during the Guarantee Period, the Subscriber may request a full refund of all subscription fees paid during the Guarantee Period by emailing ferdie@norbotsystems.com with the subject line "Lead Guarantee Refund Request — [Company Name]". The refund request must be submitted no later than seven (7) days after the end of the Guarantee Period. NorBot Systems Inc. will process the refund within fourteen (14) business days of receipt, less any credits or charges already applied to the Subscriber’s account. This guarantee applies only to the first Guarantee Period per Subscriber and does not apply to: (a) the 14-day free trial period; (b) any setup fees or one-time charges; or (c) accounts that have been suspended or terminated for violation of the Acceptable Use Policy during the Guarantee Period.
